Welcome to the Zelle Network® website, applications, mobile apps, and other tools (the "Site"). Thank you for visiting and learning more about Zelle®!

It is important to us that you, and our other visitors, have a special experience while using the Site and that when you use this Site you are fully aware of your respective legal rights and obligations. For that reason, we have created these Terms of Use ("Terms") as the legally binding terms to govern your use of this Site. PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE, BECAUSE THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

The registration and use of Zelle® services shall be subject to the separate terms and conditions of the Zelle Network® User Service Agreement, as modified from time to time.

You accept these Terms - Each time you access and/or use the Site, you agree to be bound by these Terms and any additional terms that will apply to you.

Reservation of Rights - Zelle® may modify or discontinue this Site at any time.
Local Regulations - Zelle® makes no representation that the Site is available for use outside of the United States.
Third-Party Sites - We are not responsible for third parties or their content, advertisements, apps or sites.
Proprietary Online Services - Any area of this Site that is accessed through any proprietary online service is subject to the rules, policies and guidelines of such service.
Jurisdictional Issues - The Site is designed to provide information regarding products in the United States.
Choice of Law - Delaware law will apply to these Terms.

General - If any portion of this agreement is deemed unenforceable, the remaining provisions will survive.

You Accept These Terms - If you do not agree with any of these Terms, including the Privacy Policy incorporated herein, please do not use this Site. By using this Site you will be deemed to have irrevocably agreed to these Terms. Some areas of this Site may be subject to additional terms and conditions, which you should read carefully before making any use of those areas. Such additional terms will not change or replace these Terms regarding use of this Site, unless otherwise expressly stated.

Updates to Terms - Please note that these Terms may be revised and reissued, prospectively by posting updated terms on this Site. You consent and agree to receive notices of updates of these Terms through postings of the updated Terms on our Site. You should visit this page regularly to review the current terms. ALL RIGHTS, OBLIGATIONS AND COVENANTS OF THE ZELLE® NETWORK AND ANY ZELLE® CUSTOMER WITH RESPECT TO ANY ZELLE® PRODUCT OR SERVICE SHALL BE SUBJECT TO THE TERMS AND CONDITIONS OF A USER SERVICE AGREEMENT. IF THERE IS ANY CONFLICT BETWEEN THESE TERMS AND THE USER SERVICE AGREEMENT, THE USER SERVICE AGREEMENT WILL CONTROL.

Limitation of Liability - IN NO EVENT WILL THE ZELLE® NETWORK, ITS OWNERS, DIRECTORS, OFFICERS OR AGENTS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE WEBSITE OR ITS CONTENT, (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE WEBSITE, THE PRODUCTS OR SERVICES DESCRIBED OR THE CONTENT, OR (III) ANY OTHER MATTER RELATING TO THE WEBSITE, THE PRODUCTS OR SERVICES DESCRIBED, OR THE CONTENT, EVEN IF THE ZELLE® NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE WEBSITE, THE CONTENT OR WITH THE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE. IN THOSE STATES WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES MAY NOT APPLY, ANY LIABILITY OF THE ZELLE® NETWORK, ITS OWNERS, DIRECTORS, OFFICERS AND AGENTS LIABILITY IN THOSE STATES IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.

Intellectual Property and Your Use of Material - All content available on this Site, including but not limited to text, graphics, Trademarks, images, videos, software, audio clips, data compilations, and other materials (collectively referred to as “Material”), is the property of Network Operator, its licensors, or its providers and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.

These Terms or the use of this Site do not transfer or assign any right, title, or interest in any Material, including but not limited to copyrights, trademarks, patents, or other proprietary rights, to the user. All intellectual property rights associated with the Site, its Material, and any related content remain the exclusive property of the Site owner or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the site for personal, non-commercial purposes only, subject to the terms set forth in these Terms of Use. Nothing in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any right, title, interest under any intellectual property right of Network Operator.

The trademarks, service marks, and logos (collectively “Trademarks”) used and displayed on the Site are registered and unregistered trademarks of the Network Operator, its affiliates, or third-party licensors. You are prohibited from using any of the Trademarks displayed on the Site in any manner that may infringe upon the rights of the Network Operator or any third party, including but not limited to those of any of the Zelle® network’s U.S. financial institution customers (“Network Banks”). Zelle® is independent of its Network Banks, and terms of any agreement between you and a Network Bank has no bearing, effect, or relation to these Terms.

Network Operator reserves the right to take action as it deems appropriate to protect its consumers and the general public by enforcing proper usage of its brand assets.

Zelle network Material such as images, text, publications, videos, software, and the like are owned by (1) Network Operator of Zelle®, or (2) third parties who authorized Network Operator to use such Material. Network Operator cannot provide authorization to use content or material that is owned by third parties. As far as the subject Material here is concerned, you may only copy, reproduce, modify, distribute, display, license, or sell said Material if you are granted express permission by Network Operator in writing.

For any use of copyrighted Material under the fair use exception, please consult counsel of your choice. If you are interested in using Zelle network copyrighted Material in third party works such as books, videos, publications, etc., please email us at copyright@earlywarning.com. Upon receipt of your request, we may require additional information.

Subject to your compliance with these Terms, Network Operator grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site solely for personal and non-commercial purposes. You may not use, copy, reproduce, distribute, transmit, broadcast, display, or otherwise exploit this Site, Materials, or any part of it without the express written permission of Network Operator. Any authorization to copy Material granted by Network Operator in any part of this Site for any reason, is restricted to making a single copy on a single device solely for personal and non-commercial purposes, provided that all copyright and proprietary notices are kept not modified, removed, or otherwise altered.

Unsolicited Idea Submission Policy - The Zelle network is interested in hearing from you regarding your questions or comments about our Site. However, the Zelle network or any of its employees, or otherwise agents, do not accept, consider, or review any unsolicited concepts, ideas, works, proposals, works, suggestions, artwork, content, or the like, no matter the intended purpose or utility, including, without limitation, for marketing strategies, advertising campaigns, promotions, products, services, technologies, product enhancements or modifications, as well as product or service names, content, or creative materials (collectively, “Submissions”). As such, please do not send or provide Submissions for the Zelle network’s consideration in any form or medium to the Zelle network or any of its employees, including any agents, contractors, and consultants.

This strict policy ensures the avoidance of potential disputes or misunderstandings in the event Zelle® related content, materials, products, services, and the like potentially appear similar to Submissions sent or provided to the operator of the Zelle network. Despite this policy and request, if you still move forward with sending or otherwise providing us with your Submissions, then the following terms will apply regardless of the contents of your Submission in its entirety (including any contrary correspondence accompanying your Submission):

Terms of Unsolicited Idea Submission

You, by submitting the relevant Submission, agree that:

You are authorized to make the Submission, and that your Submission does not include any confidential information, proprietary know-how, trade secrets, or other intellectual property rights of any third party.
You expressly acknowledge and represent that you had a full and fair opportunity to review and consult these terms herein with counsel of your choice.
Acceptance of your Submission imposes absolutely no obligations on the operator of the Zelle network, including, without limitation:

a. The Zelle network will not have any obligation to acknowledge or review your Submission, or otherwise respond to you in any way regarding your Submission; and
b. The Zelle network will not be subject to confidentiality or have any obligation to keep your Submission confidential, and may, in its discretion, publish or publicly disclose your Submission in any form.
Your Submission, its content, and any derivatives, modifications, or enhancements thereof, automatically become the property of , without any compensation of any kind owed to you.
The Zelle network may use or redistribute your Submission, its content, and any derivatives, modifications, or enhancements thereof, for any purpose and in any form (including, without limitation, in new Zelle network products and services, or modifications/enhancements of existing Zelle network products and services).

Invited Submissions - From time to time, areas on this Site may expressly request submissions of concepts, stories, or other potential content from you ("Invited Submissions"). Where this is the case, please carefully read any specific rules or other terms and conditions which appear elsewhere on this Site to govern those submissions ("Additional Terms"), as they will affect your legal rights. If no Additional Terms govern those submissions, then these Terms will apply in full to any Invited Submissions you make. IN ANY EVENT, ANY MATERIAL YOU SEND TO US WILL NOT BE TREATED AS CONFIDENTIAL, EXCEPT WE WILL TREAT YOUR PERSONALLY IDENTIFIABLE INFORMATION, YOUR BANK ACCOUNT INFORMATION AND YOUR TRANSACTIONS INFORMATION AND DATA AS CONFIDENTIAL. Regardless of any industry custom or practice, we will not pay you for the use of any content that you submit to the Site.

Claims of Infringement

Intellectual Property Rights
The Zelle network respects the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work or other intellectual property has been infringed upon by content hosted on our website, please follow the process outlined below.
Reporting Infringement
To report an infringement, please send a written notice to our designated Copyright Agent at the contact information provided below. Your notice should include the following details:
• A description of the work you believe has been infringed upon, including the copyright registration number (if applicable);
• A description of the alleged infringing material and its location on the website, including the URL or any other relevant details to help us identify the content;
• Your contact information, including your full name, address, phone number, and email address;
• A statement that you have a good faith belief that the use of the material in question is not authorized by the copyright owner, its agent, or the law;
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner.
Our Response to Infringement Claims
Upon receiving a valid claim of infringement, we will promptly review the notice and take appropriate action, which may include removing or disabling access to the allegedly infringing material.
Limitations of Liability
The Zelle network does not guarantee that any material will be removed or modified in response to a claim of infringement. The Network Operator of Zelle®, seeks to preserve any and all exemptions from liability that may be available under applicable copyright law, but does not necessarily stipulate that it is a service provider as defined in U.S.C. Section 512(c) or elsewhere.

Responsible Use of Site - Please act responsibly when using this Site. You may only use this Site and its contents for lawful purposes and in accordance with applicable law and you are prohibited from storing, distributing or transmitting any unlawful material through this Site. You may not collect or store personal information regarding other users. You recognize that storing, distributing, or transmitting unlawful material could expose you to criminal and/or civil liability. You agree that if a third party claims that material you have contributed to the Site is unlawful, you will bear the burden of establishing that it is lawful. You understand and agree that all materials transmitted on or through this Site are the sole responsibility of the sender, not Zelle®, and that you are responsible for all material you upload or otherwise transmit to or through this Site.

You may not link or otherwise connect our Site or any content on our Site without our prior written permission to do so. You agree that you will not use this Site for any of these prohibited uses or purposes:

Selling, reselling or offering for sale or resale any content or aspect of this Site;
Bypassing any measures we use to prevent, restrict or otherwise limit access;
Using the Site to send altered, deceptive or false information;
Using the Site to intercept, collect or store personal information of others;
Using the Site to spam or phish or otherwise impact the operation of the Site or the integrity of the use of the Site by Zelle® or others;
Accessing, monitoring or copying any content or information on the Site, including but not limited to by means of robots, screen scrapers, data mining software or similar tools;
Framing or otherwise incorporating all or any portion of the Site into any other site;
Decompiling, disassembling or reverse engineering any of the software or content used in any part of the Site;
Placing, sending or otherwise transmitting any malware, virus or using any malicious programs or techniques in connection with the Site;
Overloading or otherwise crashing or attempting to crash the Site; and
Engaging in any high volume data transfers or bandwidth use through your use of the Site.

Release - If you have a dispute with one or more users, you release us (and our parent company Early Warning Services, LLC, affiliates and subsidiaries, and our and their respective officers directors, employees, and agents) from claims, demands, liabilities, costs, or expenses and damages (actual and consequential of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. In entering into this release, you expressly waive any protections (whether statutory or otherwise) to the extent permitted by applicable law, that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

System Abuse - Without limitation, you agree not to send, create or reply to so called "mailbombs" (i.e., emailing copies of a single message to many users, or sending large or multiple files or messages to a single user with malicious intent) or engage in "spamming" (i.e., unsolicited emailing for business or other purposes), or undertake any other activity which may adversely affect the operation or enjoyment of this Site by any other person. You may not reproduce, sell, resell or otherwise exploit any resource, or access to any resource, contained on this Site.

Security - Any usernames and passwords used for this Site are for individual use only. You shall be responsible for the security of your username and password (if any). Zelle® shall be entitled to monitor your username and password and, at its discretion, require you to change it. If you use a username and password that Zelle® considers insecure, Zelle® will be entitled to require this to be changed and/or terminate your account.

Violation of Security - You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g. password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Zelle® reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents.

Investigations - Zelle® reserves the right to investigate suspected violations of these Terms, including without limitation any violation arising from any submission, posting, or e-mails you make or send to any Forum. Zelle® may seek to gather information from the user who is suspected of violating these Terms, and from any other user. Zelle® may suspend any users whose conduct or postings are under investigation and may remove such material from its servers as it deems appropriate and without notice. If Zelle® believes, in its sole discretion, that a violation of these Terms has occurred, it may edit or modify any submission, posting, or e-mails, remove the material permanently, cancel postings, warn users, suspend users and passwords, terminate accounts or take other corrective action it deems appropriate. Zelle® will fully cooperate with any law enforcement authorities or court order requesting or directing Zelle® to disclose the identity of anyone posting any e-mails, or publishing or otherwise making available any materials that are believed to violate these Terms. BY ACCEPTING THIS AGREEMENT YOU WAIVE AND HOLD HARMLESS ALL MEMBERS OF THE ZELLE® NETWORK FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY MEMBER OF THE ZELLE® NETWORK DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER A MEMBER OF THE ZELLE® NETWORK OR LAW ENFORCEMENT AUTHORITIES.

Service - In order to use this Site, you must obtain access to the World Wide Web and pay any service fee associated with that access. You will need to provide all equipment necessary to connect to the Site on the World Wide Web (including a computer, modem, mobile device, tablet and/or other access devices).

Reservation of Rights - Zelle® reserves the right to modify or discontinue, temporarily or permanently, all or any part of this Site and/or any software, facilities and services on this Site, with or without notice, and/or to establish general guidelines and limitations on their use.

Local Regulations - Zelle® makes no representation that Materials or other content on the Site are appropriate or available for use outside the United States, its territories, possessions and protectorates. If you choose to access the Site from other locations you do so on your own initiative and at your own risk. You are responsible for complying with local laws, if and to the extent local laws are applicable. You specifically agree to comply with all applicable laws concerning the transmission of technical data exported from the United States or the country you reside in.

Third-Party Sites - This Site may link you to other sites on the Internet, such as Network Banks. These other sites are not under the control of Zelle®, and you acknowledge that (whether or not such sites are affiliated in any way with Zelle®) Zelle® is not responsible for the content of such sites. Zelle® cannot ensure that you will be satisfied with any services that you obtain from any third-party site that links to or from Zelle®. Zelle® does not make any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third party, and you irrevocably waive any claim against us with respect to such sites. We strongly encourage you to make whatever investigation you feel necessary or appropriate before proceeding with any of these third parties.
You acknowledge and agree that if you use those links, you will be subject to that third party's terms of use, its privacy policy or information security policy or any other terms, policies, conditions or agreements applicable to that third party's website.

Proprietary Online Services - Any area of this Site that is accessed through any proprietary online service is subject to the rules, policies and guidelines of such proprietary online service.

Jurisdictional Issues - The Materials and all other content in this Site are presented for the purpose of providing information regarding products available in the United States and elsewhere.

Choice of Law - With the exception of Section 10 which will be construed in accordance with the FAA, these Terms shall be governed by, construed and enforced in accordance with the laws of the State of Delaware.

This is the entire agreement between you and Zelle® relating to the matters contained here and the Site.
